These Terms apply to platforms.jqclabs.com and any product or tool subdomains or websites operated by JQC Labs, unless a specific product, tool, or website has its own separate written terms and conditions. Where separate written terms exist for a specific product, tool, or website, those terms govern for that specific product, tool, or website, and these Terms apply only to the extent not inconsistent.
If a JQC Labs-operated product, tool, or website does not publish separate written terms, these Terms serve as the default terms governing Your use of that product, tool, or website.
Your access to and use of the Service is conditioned on Your acceptance of and compliance with these Terms and Conditions. These Terms apply to all visitors and users of the Service.
By accessing or using the Service, You agree to be bound by these Terms. If You disagree with any part of these Terms, then You may not access or use the Service.
You represent that You are at least 18 years old. The Company does not knowingly permit individuals under 18 to use the Service.
The Service may include general information, tools, calculators, estimators, or other functionality. Any information provided is for general informational purposes only.

You are responsible for Your User Content and represent and warrant that You own or have the legal right to submit the User Content and that submitting it does not violate any law or third-party rights.
You grant JQC Labs a non-exclusive, worldwide, royalty-free license to host, store, process, transmit, display, and use Your User Content solely as reasonably necessary to operate, maintain, and provide the Service, to enforce these Terms, and to improve the Service. This license continues for as long as Your User Content is stored in connection with the Service, and ends when Your User Content is deleted from our systems, subject to routine backups and legal retention obligations.
Do not submit confidential information through the Service. To the maximum extent permitted by applicable law, any User Content submitted through the Service will be treated as non-confidential and non-proprietary, unless we expressly agree otherwise in writing.
The Service and its original content (excluding User Content), features, functionality, and design are and will remain the exclusive property of JQC Labs and its licensors. The Service is protected by copyright, trademark, and other laws of the United States and foreign countries.
Subject to these Terms, JQC Labs grants You a limited, non-exclusive, non-transferable, revocable license to access and use the Service for Your personal or internal business use as intended by the Service.
If You provide suggestions, ideas, or feedback about the Service, You grant JQC Labs the right to use, reproduce, modify, distribute, and otherwise exploit that feedback without restriction and without compensation to You.
Our Service may contain links to third-party websites or services that are not owned or controlled by JQC Labs. JQC Labs assumes no responsibility for the content, privacy policies, or practices of any third-party websites or services.
You acknowledge and agree that JQC Labs shall not be responsible or liable, directly or indirectly, for any damage or loss caused or alleged to be caused by or in connection with use of or reliance on any such content, goods, or services available on or through any such websites or services.
You consent to receive communications from JQC Labs electronically, including via email. You agree that agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing.
To the maximum extent permitted by applicable law, the Service is provided on an “AS IS” and “AS AVAILABLE” basis. JQC Labs disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including without limitation implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
Without limiting the foregoing, JQC Labs does not warrant that the Service will be uninterrupted, error-free, secure, or free of harmful components, that defects will be corrected, or that any outputs, calculations, or results produced by the Service are accurate, complete, reliable, or current.
To the maximum extent permitted by applicable law, in no event shall JQC Labs be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation damages for loss of profits, loss of data, business interruption, loss of goodwill, or personal injury, arising out of or related to Your use of, inability to use, or reliance on the Service, even if advised of the possibility of such damages.
To the maximum extent permitted by applicable law, the total liability of JQC Labs for any claims arising out of or related to the Service shall not exceed the greater of (a) the total amount paid by You to JQC Labs for access to or use of the Service in the twelve (12) months immediately preceding the event giving rise to the claim, or (b) one hundred U.S. dollars (US $100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to You. In such jurisdictions, liability will be limited to the greatest extent permitted by law.
You agree to defend, indemnify, and hold harmless JQC Labs and its owners, contractors, and representatives from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys’ fees) arising out of or related to: (a) Your violation of these Terms; (b) Your misuse of the Service; (c) Your User Content; or (d) Your violation of any law or the rights of a third party.
JQC Labs shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, power or internet outages, labor disputes, government actions, war, terrorism, epidemics, supply chain disruptions, or failures of Third-Party Providers.
We may terminate or suspend access to the Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if You breach these Terms. Upon termination, Your right to use the Service will cease immediately.
Your use of the Service does not create a client relationship, professional relationship, partnership, joint venture, employment relationship, or agency relationship between You and JQC Labs. These Terms govern use of the Service only.
The laws of the State of Connecticut, United States, excluding its conflict of law rules, shall govern these Terms and Your use of the Service.
If You have any concern or dispute about the Service, You agree to first try to resolve the dispute informally by contacting JQC Labs.
To the maximum extent permitted by applicable law, You agree that any action or proceeding arising out of or related to these Terms or the Service shall be brought exclusively in the state or federal courts located in the State of Connecticut, and You consent to the personal jurisdiction of such courts.
If any provision of these Terms is held to be unenforceable or invalid, such provision will be changed and interpreted to accomplish the objectives of such provision to the greatest extent possible under applicable law, and the remaining provisions will continue in full force and effect.
Except as provided herein, the failure to exercise a right or to require performance of an obligation under these Terms shall not affect a party’s ability to exercise such right or require such performance at any time thereafter, nor shall the waiver of a breach constitute a waiver of any subsequent breach.
We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will make reasonable efforts to provide notice prior to the new terms taking effect. What constitutes a material change will be determined at our sole discretion.
By continuing to access or use the Service after revisions become effective, You agree to be bound by the revised terms. If You do not agree to the new terms, in whole or in part, please stop using the Service.
